NDA explained: what am I agreeing to?

An NDA, or non-disclosure agreement, is a contract in which one or both sides promise to keep certain information confidential and to use it only for an agreed purpose. In plain English, the questions that matter before you sign one are what counts as confidential, what you may still say or do, how long the duty lasts, and what you must hand back or destroy at the end.

What does an NDA usually cover?

Most NDAs are short, and most of them decide the same handful of things. Read each one in your own copy.

  • What counts as confidential information, and whether it has to be marked as such
  • The exceptions: information that is already public, that you already knew, that you developed on your own, or that reached you from someone free to share it
  • The purpose: what you may use the information for, and nothing else
  • Who you may share it with - employees, advisers - and on what terms
  • How long the agreement runs, and how long the duty of confidence lasts after it ends
  • What you must return or destroy at the end
  • What the other side may do if the agreement is broken
  • Anything else tucked in: a non-solicitation or non-compete clause is sometimes added to an NDA

Mutual or one-way?

A one-way NDA binds only the side receiving the information - typical when one party is showing the other its plans, its code or its numbers. A mutual NDA binds both sides, for when both will share. The first lines of the agreement usually say which it is, and the definitions say who counts as the discloser and who the recipient.

How do I get my NDA explained?

In three steps. Say what worries you - "can I still talk about my own past work", "how long does this bind me", "is there a non-compete in here" - and the video goes to the clauses that answer it.

PNG, JPEG, WebP and GIF images, PDF, plain text and Markdown are accepted, so a scan or photos of the pages work. Up to 5 files, each under 10 MB, and at most 20,000 characters are read out of any one PDF or text file.

To change it, ask in plain words - "slow down on section 4", "add the renewal date" - and ZUQ makes a new cut. A new cut spends minutes again, like any build, and the video you already have is kept.

Minutes are the only meter, and a build costs exactly the runtime it produces: a video that runs 15 minutes spends 15 minutes of your monthly allowance. A document video runs from 1 minute to 3 hours, and a free account starts with 30 minutes. The pricing page lists what each plan grants and what a top-up adds.

  • Describe. Pick "Turn a document into video", say in your own words what you need from the document, and name the file. A sentence is enough.
  • Tune. Three to five quick questions, planned from what you wrote, each with an answer already picked. Change any of them or skip them all.
  • Make. Check the title, the length, the depth and the cost in minutes, attach the document itself - a PDF, a text file or photos of the pages - and press Make.

Is an NDA video legal advice?

We are not your lawyer and this is not legal advice. This is so that when you do talk to your lawyer, you already know which three pages to talk about.

What am I agreeing to when I sign an NDA?

To keep the information the agreement defines as confidential to yourself, to use it only for the stated purpose, to share it only with the people it allows, and to return or destroy it at the end - for as long as the agreement says. The definitions and the exceptions decide how wide that is, so they are the clauses to read first.

What counts as confidential information in an NDA?

Whatever the definition clause says. Some NDAs cover anything shared in the relationship; some only what is marked confidential or confirmed in writing. Most then list exceptions, such as information that is already public or that you already knew.

How long does an NDA last?

An NDA usually states two periods: how long the agreement runs, and how long the duty of confidence lasts after it ends. Some set a fixed number of years; some keep certain information, such as trade secrets, confidential for as long as it stays secret. Your NDA states its own periods.

What is the difference between a mutual and a one-way NDA?

A one-way NDA binds only the side receiving the information. A mutual NDA binds both sides, because both will share. The opening lines and the definitions say which yours is.

Can an NDA stop me working for a competitor?

Only if it includes a clause that says so. A plain NDA is about information, but a non-compete or non-solicitation clause is sometimes added to one. A ZUQ video goes to any such clause, says what it covers and for how long, and names it. Whether a clause like that is enforceable is a question for a lawyer.

What happens if I break an NDA?
